While running the converter I immediatly get the above error.
if I look at the system application event log
Volume Shadow Copy Service error: Error creating the Shadow Copy Provider COM class with CLSID {65ee1dba-8ff4-4a58-ac1c-3470ee2f376a} [0x8007041d].

Snapshot can fail, for example if you have very little space on system drive, so VSS service cannot store the snapshot... however in this case error should be different.
Could you attach the logs (except you have some sensitive content in them) ?
I have 43GB used with 93GB Free.
The Target drive is 120GB free.
Another observation, ntbackup.exe fails with similar error.
I tried http://support.microsoft.com/kb/2009513 and http://support.microsoft.com/kb/941956 without any success.
I can get to the logs later today.
Have you seen the release note about "A running P2V conversion task fail..." (http://www.vmware.com/support/converter/doc/conv_sa_43_rel_notes.html)?
Also, did you apply the fix mentioned in http://kb.backupassist.com/articles.php?aid=2978 ? (which seems more relevant than the release note as ntbackup also fails)

Executiting the 2nd link produced errors.
LoadLibrary("vssui.dll") falied - the specified module could not be found
and
DllInstall in swprv.dll failed return code was :smileylaugh:x8000ffff
Also de-installed and re-installed Com +
the current error is

Results of attempting ntbackup first, since it uses shadow copy as well.
