These things are expensive! Sheesh!
You just need to look. You have more than a few things going against you. You have older hardware that doesn't support newer interfaces PCI-e and wanting to install the newest OS where support has been dropped for older adapters. I would seriously consider going back to 3.5. You can't run 64bit OS's anyway. ESXi 3.5 will be updated for several more years. You could also put your money towards an older server with more sas/sata drive bays.
Really? Drop back to 3.5?? I shudder at the thought....

You don't have the hardware to support ESXi 4. You don't have the hardware that you can take advantage of anything in the new OS. I wouldn't waste much if anything on your existing hardware. If something comes along and someone begs you to take it fine. Set up an NFS server. Use what you have but save your money and look for a new server. If you look you can find some bargains. For a while Dell had new T105 AMD Opteron servers for $400 or so. The current models only support a more expensive CPU.

nowadays i will recommend you to use ESXi 4.0, not 3.5.

You can find easyly recent cheap hardware that works for ESXi 4.0.
For example, this cheap hardware (whitebox) works with ESXi 4.0:
